IMPORTANT: BY PLACING AN ORDER WITH PEPLIX RESEARCH SUPPLY, YOU CONFIRM THAT YOU ARE A LICENSED RESEARCHER, INSTITUTIONAL BUYER, OR AUTHORISED REPRESENTATIVE OF A RESEARCH ORGANISATION AND THAT ALL PRODUCTS WILL BE USED EXCLUSIVELY FOR IN-VITRO OR APPROPRIATELY SUPERVISED IN-VIVO PRECLINICAL RESEARCH PURPOSES. PRODUCTS ARE NOT FOR HUMAN CONSUMPTION. |
1. Parties and Agreement Scope
These Terms of Service ("Agreement") constitute a legally binding contract between Peplix Research Supply ("Peplix", "Company", "we", "us") and the purchasing entity or individual ("Purchaser", "you", "your"). This Agreement governs all purchase orders, account registrations, and use of the Peplix website located at peplix.bio.
By accessing the Peplix website, creating an account, or submitting a purchase order, the Purchaser agrees to be bound by the terms of this Agreement in full. If you do not agree to these terms, you must not access the website or submit any order.
2. Nature of Products & Intended Use
2.1 Product Classification
All products sold by Peplix Research Supply are analytical-grade synthetic peptide reference standards and research reagents ("Research Compounds"). Products are supplied as lyophilised powders or solutions intended exclusively for:

In-vitro laboratory research and assay development

Cell-based biological research conducted in appropriately equipped laboratory facilities

Appropriately supervised, institutionally approved in-vivo preclinical research
-
Drug discovery, compound screening, and pharmaceutical development research
-
Educational and instructional use within licensed academic or research institutions
2.2 Prohibited Uses
Products sold by Peplix Research Supply are strictly prohibited from use in the following contexts:

Human consumption in any form, including oral ingestion, injection, inhalation, or topical application to humans

Veterinary therapeutic applications without appropriate veterinary licensing and regulatory approval
-
Resale to end consumers or individuals for personal use
-
Use as dietary supplements, nutraceuticals, or food additives
-
Any application requiring regulatory approval (FDA, EMA, or equivalent) that has not been obtained
-
Use in clinical trials without an active IND (Investigational New Drug Application) or equivalent regulatory authorisation

Products are NOT approved by the U.S. Food and Drug Administration (FDA), the European Medicines Agency (EMA), or any equivalent regulatory body for any therapeutic, diagnostic, or preventive indication in humans or animals. |
3. Purchaser Eligibility & Representations
3.1 Eligibility Requirements
By placing an order, the Purchaser represents, warrants, and confirms that:

They are at least 18 years of age

They are purchasing on behalf of a licensed research institution, accredited academic organisation, registered pharmaceutical or biotechnology company, or a qualified independent research laboratory

They possess the institutional authorisation, professional credentials, and applicable licenses or permits required in their jurisdiction to purchase, handle, store, and use the ordered research compounds

The research applications for which the compounds will be used are lawful in the Purchaser's jurisdiction

The Purchaser has read, understood, and agrees to comply with all applicable federal, state, provincial, and local laws and regulations governing the purchase, import, possession, handling, and use of research chemical compounds
3.2 Institutional Verification
Peplix reserves the right to require verification of institutional affiliation, professional credentials, or research purpose prior to processing any order. Peplix may request, at its sole discretion:

Institutional purchase order documentation

Proof of affiliation with a licensed research institution (e.g., institutional email address, letterhead, or credentialing document)

Description of intended research application
-
Applicable import permits or controlled substance schedules (where required)
Peplix reserves the right to refuse or cancel any order at its sole discretion if it determines, based on available information, that the order does not comply with this Agreement or applicable law.
4. Regulatory Compliance
4.1 Purchaser Responsibility
The Purchaser is solely responsible for:

Determining whether the purchase, import, possession, and use of ordered compounds is lawful in their jurisdiction

Obtaining all required import licences, permits, DEA schedules, or equivalent regulatory authorisations prior to ordering

Ensuring compliance with all applicable laboratory safety regulations, institutional biosafety committee requirements, and IACUC (Institutional Animal Care and Use Committee) approvals for any in-vivo research
-
Proper handling, storage, and disposal of all research compounds in accordance with applicable safety regulations and institutional policies
4.2 Export Controls
Purchaser agrees to comply with all applicable U.S. and international export control laws and regulations. By placing an order, Purchaser confirms that the ordered compounds will not be used for any purpose prohibited by applicable export control regulations and will not be re-exported to any country, entity, or individual subject to applicable sanctions or export restrictions.
5. Orders, Pricing & Payment
5.1 Order Acceptance
All orders placed through the Peplix website constitute an offer to purchase and are subject to acceptance by Peplix. An order is accepted only upon Peplix's issuance of an order confirmation email. Peplix reserves the right to refuse any order for any reason, including but not limited to: inability to verify purchaser eligibility, payment issues, stock unavailability, or compliance concerns.
5.2 Pricing
All prices are quoted in U.S. Dollars (USD) and are exclusive of applicable taxes, duties, and shipping charges unless otherwise stated. Prices are subject to change without notice. The price applicable to any order is the price in effect at the time the order is placed.
5.3 Payment Terms
Payment in full is required at the time of order placement. Peplix accepts payment via the methods listed on the checkout page. By submitting payment, the Purchaser confirms that they are authorised to use the payment method provided.
6. Shipping, Handling & Cold Chain
6.1 Cold Chain Compliance
Peptide research compounds are sensitive to temperature, light, and humidity. Peplix ships all lyophilised peptide compounds with appropriate cold-chain packaging, including insulated packaging and ice or dry ice where required, to maintain product integrity during transit. Standard shipping transit times apply and Peplix does not guarantee specific delivery dates.
6.2 International Shipping
Purchaser is responsible for all import duties, taxes, customs fees, and any delays arising from customs inspection in the destination country. Peplix will provide accurate commercial invoices describing products as research reagents/synthetic peptide reference standards. Purchaser is responsible for ensuring that import of the ordered compounds is lawful in their jurisdiction prior to placing an order.
6.3 Ownership & Risk of Loss
Title and risk of loss pass to the Purchaser upon handover to the shipping carrier. Peplix is not liable for loss, theft, or damage occurring after handover to the carrier. Purchasers are encouraged to obtain shipping insurance for high-value orders.
7. Product Quality & Certificates of Analysis
7.1 Quality Standards
All Peplix research compounds are tested by independent third-party analytical laboratories. Each product lot is supplied with a Certificate of Analysis (CoA) confirming purity (by HPLC), identity (by mass spectrometry or equivalent), and lot number. Copies of CoAs are available on the Peplix website and upon request.
7.2 Purity Specifications
Unless otherwise stated on the product listing, all Peplix peptide reference standards are supplied at a minimum purity of 98.0% by HPLC. Specific purity values are stated on each product CoA. Purchaser acknowledges that minor lot-to-lot variation within stated specifications is inherent to biological compound manufacturing and does not constitute a product defect.
7.3 Storage Responsibility
Peplix warrants product integrity at the time of shipment. Purchaser is responsible for appropriate storage of all compounds upon receipt in accordance with the storage conditions stated on the CoA and product documentation. Peplix is not responsible for product degradation resulting from improper storage by the Purchaser.
8. Returns, Refunds & Disputes
Given the perishable and regulated nature of research compounds, Peplix operates the following returns policy:

Defective products (confirmed purity below stated specification): Peplix will, at its election, provide a replacement product or full refund, provided the claim is made within 7 days of delivery with supporting documentation.

Products damaged in transit: Photographic evidence of damage must be submitted within 48 hours of delivery. Peplix will coordinate with the shipping carrier and, where applicable, issue a replacement or refund.

Purchaser error (incorrect order, change of mind): No returns or refunds are available for purchaser error orders given the nature of the products.

Refused or unclaimed shipments: No refunds are available for orders refused or unclaimed at destination, as these situations may trigger regulatory obligations for which Peplix cannot assume liability.
To initiate a return or refund claim, contact support@peplix.bio within the applicable timeframe with your order number, a description of the issue, and supporting documentation.
9. Limitation of Liability & Indemnification
9.1 Research Use Assumption of Risk
The Purchaser acknowledges that research compounds are supplied for scientific research purposes and that their use in research involves inherent risks. The Purchaser assumes all responsibility and risk associated with the receipt, handling, storage, use, and disposal of all Peplix products.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PEPLIX RESEARCH SUPPLY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE PURCHASE OR USE OF ANY PEPLIX PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Peplix's total aggregate liability for any claim arising out of or relating to any order shall not exceed the total amount paid by the Purchaser for the specific order giving rise to the claim.
9.3 Indemnification
The Purchaser agrees to indemnify, defend, and hold harmless Peplix Research Supply and its officers, directors, employees, agents, and suppliers from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) the Purchaser's use of any Peplix product in violation of this Agreement; (b) the Purchaser's violation of any applicable law or regulation; (c) any claim by a third party arising from the Purchaser's use of Peplix products; or (d) the Purchaser's breach of any representation or warranty made in this Agreement.
10. Intellectual Property
All content on the Peplix website, including but not limited to compound reference documentation, scientific content, design elements, logos, trademarks, and proprietary research data compilations, is the intellectual property of Peplix Research Supply or its licensors. No content may be reproduced, distributed, or used for commercial purposes without prior written consent from Peplix.
Purchasers may cite Peplix as the supplier of research compounds in academic publications or research reports in accordance with standard scientific citation practice.
11. Privacy & Data
Peplix collects and processes personal data submitted during account registration and order placement solely for the purposes of order fulfilment, regulatory compliance record-keeping, and customer support. Peplix does not sell personal data to third parties. Data is retained for the period required by applicable law and then securely deleted. 12. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement that cannot be resolved by good-faith negotiation between the parties shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings conducted in New York. Each party waives the right to a jury trial in connection with any dispute arising out of this Agreement.
13. Modifications
Peplix reserves the right to modify these Terms of Service at any time. Updated terms will be posted on the Peplix website with a revised effective date. Continued use of the Peplix website or placement of orders following posting of updated terms constitutes acceptance of the modified terms. Purchasers are encouraged to review these terms periodically.
14. Severability & Entire Agreement
If any provision of this Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. This Agreement, together with any order confirmations and applicable product documentation, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements, understandings, and representations.
